Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Kaireen ("Kaireen", "we", "us", or "our"), the company behind Kaireen Studio. By creating an account, starting a free trial, activating a license key, installing, or using Kaireen Studio (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or team, you confirm that you have authority to accept these Terms for that organization, and "you" refers to that organization.

2. The service

Kaireen Studio is a native panel for Adobe Premiere Pro that brings captions, multicam podcast editing, soundbite and chapter finding, an SFX library, project organize and collect, and motion graphics into a single panel. Some features run entirely on your own computer, and some features use artificial intelligence ("AI") through our servers and third-party AI providers.

The Service currently runs on Windows inside Premiere Pro 2023 or newer. A macOS build is in development and, when released, is expected to be offered at the same price. Supported versions and system requirements may change over time.

Adobe and Premiere Pro are trademarks of Adobe Inc. Kaireen is an independent product and is not affiliated with, sponsored by, or endorsed by Adobe.

3. Accounts and eligibility

To use the Service you may need to create an account and provide a valid email address. You are responsible for keeping your account details and license key confidential, and for all activity that happens under your account. You must be old enough to enter a binding contract in your country to use the Service.

You agree to provide accurate information and to keep it up to date. Notify us promptly if you believe your account or license key has been used without your permission.

4. License and license keys

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your own video editing work, whether personal or commercial. Your subscription unlocks the Service through a license key.

A single-seat plan is licensed for use by one person. A Team plan includes a set number of seats and may be used by that number of people within your organization. Each seat is intended for a single named user and must not be shared beyond your plan's seat count.

5. Restrictions

You agree not to:

• Copy, resell, sublicense, rent, or redistribute the Service or your license key.
• Reverse engineer, decompile, or attempt to extract source code, except where this is permitted by law.
• Bypass, disable, or tamper with licensing, quota, or security measures.
• Use the Service to build a competing product or to train a competing model.
• Use the Service in any unlawful way or to process content you do not have the rights to.
• Share one seat across more people than your plan allows.

6. Free trial, subscriptions and billing

Kaireen Studio is offered as a paid subscription, billed monthly or yearly. A yearly subscription is offered at a discount equal to two months free compared with paying monthly. Prices are shown at checkout and may change for future billing periods, with notice.

We offer a free trial so you can try the Service before you pay. No card is required to start the trial. When the trial ends, you can choose to subscribe. If you do not subscribe, the paid features simply stop and you are not charged.

Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time, and your access continues until the end of the period you have already paid for. Payments, invoices, and cancellations are handled by our payment provider (see Third-party services). Refunds and cancellation details are described in our Refund and Cancellation Policy.

You are responsible for any taxes that apply to your purchase, unless the amount already includes them at checkout.

7. AI features and fair quota

Some features use AI (for example, transcription for captions and text generation). AI usage is included through a fair monthly quota, so you do not need to manage separate AI billing or bring your own keys for the included features. Quota amounts may vary by plan and may be adjusted over time to keep the Service sustainable and to prevent abuse.

AI output can contain mistakes. You are responsible for reviewing AI results before you rely on them. Kaireen proposes changes and does not alter your timings or content without your action.

8. Your projects and footage

Your projects, footage, and edits belong to you. We do not claim ownership of your content. Your video footage is not uploaded to us. The local caption engine runs fully on your machine, and AI features send only what they need to work (for example, extracted audio for transcription). See our Privacy Policy for details on what is processed and by whom.

You are responsible for holding the rights to any content you process with the Service.

9. Third-party services

The Service relies on third parties, including a payment provider that acts as merchant of record for your purchase, and AI providers that power transcription and text features. Your use of those parts of the Service is also subject to those providers' terms. We are not responsible for third-party services we do not control, but we choose providers we consider suitable for this Service.

10. Updates and changes to the service

We may update, improve, add, or remove features over time, and we may release updates that you need to install to keep using the Service. We aim to avoid disruptive changes, but we may modify or discontinue parts of the Service. Where a change materially reduces core functionality of a paid plan, we will act reasonably and in line with the Refund and Cancellation Policy.

11. Acceptable use

You agree to use the Service lawfully and not to misuse it, interfere with its operation, place an unreasonable load on our systems, or attempt to gain unauthorized access. We may suspend or limit access to protect the Service, other users, or our providers.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error free, or that AI results will be accurate. Nothing in these Terms removes rights you have under mandatory consumer law that cannot be waived.

13. Limitation of liability

To the fullest extent permitted by law, Kaireen and its suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of or inability to use the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event that gave rise to the claim.

14. Termination

You can stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service. On termination, your license to use the Service ends. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of Turkiye, without regard to conflict of law rules. The courts of Turkiye will have jurisdiction over any dispute, unless mandatory law in your country of residence gives you the right to bring proceedings elsewhere.
